It ensures no legal liability arises from failure to finalize the agreement and limits liability in all cases. The MoU preserves existing ownership of intellectual property and restricts employment transitions between parties for a specified period. Governed by Indian law, the document clarifies that it creates no binding contractual obligations, joint ventures, or agency unless further formalized, and allows extension or termination by mutual agreement.en
